    Cognity — Terms of Service

    1. Introduction and Acceptance

    These Terms of Service ("Terms") form a legally binding agreement between you and CT Corp. ("Cognity," "we," "us," or "our"), governing your access to and use of the Cognity platform, websites, applications, and related services (collectively, the "Service").

    By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of a school, district, or other organization ("Institution"), you represent that you are authorized to bind that Institution, and "you" includes that Institution.

    If you do not agree to these Terms, do not use the Service.


    2. Definitions

    • Service: The Cognity generative-AI education suite, including project/assignment generation, rubric tools, the AI tutor "Jello," AI-use visibility and transparency features, the Well-being Signal, and all related websites and applications.
    • Institution: A school, district, university, or other educational organization that licenses or authorizes access to the Service.
    • Educator: A teacher, instructor, or staff member authorized by an Institution to use the Service.
    • Student: A learner who uses the Service, typically under the authority of an Institution and, where applicable, a parent or guardian.
    • Children: Users who are under 13 in the United States and under 16 outside the United States (or the higher minimum digital-consent age required by applicable local law). Additional consent/authorization requirements apply to Children (see Sections 3 and 4).
    • User: Any individual who accesses the Service, including Educators and Students.
    • Content: Any material submitted to or generated within the Service, including assignments, prompts, drafts, revisions, files, links, and messages.
    • AI Output: Text, images, code, feedback, suggestions, or other material generated by the Service's artificial-intelligence features, including Jello.
    • Transparency Record: The record the Service maintains of a Student's interactions with AI features, including prompts, revisions, and process metadata, used to make AI use visible to Educators.
    • Well-being Signal: A feature that surfaces indicators, derived from Student interactions, that a Student may be experiencing distress or difficulty, for the awareness of authorized Educators.

    3. Eligibility, Accounts, and Roles

    3.1 Account types. Accounts may be provisioned for Educators and Students by an Institution, or created directly where permitted. Student accounts are ordinarily created or authorized through an Institution. Students do not self-register: they join through a teacher-provided class code or by connecting an existing school-managed account (for example, Google Classroom), so student participation is mediated by the Educator/Institution.

    3.2 Age and consent. The Service is intended for use in educational settings and may involve minors. For Children (as defined in Section 2 — under 13 in the US and under 16 outside the US, or the higher local digital-consent age), the Institution and/or the parent or guardian must provide the consent or authorization required by applicable law before the Child accesses the Service. See Section 4.

    3.3 Accurate information. You agree to provide accurate, current information and to keep your account credentials confidential. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

    3.4 We may refuse or revoke registration where required by law, where information provided is false, or where a prior account was terminated for violation of these Terms.


    4. Institutional Authority, COPPA, FERPA, and GDPR

    4.1 Institution as authorizer/controller. Where an Institution provisions the Service for its Users, the Institution is responsible for determining the purposes of processing Student personal data and for obtaining and maintaining all legally required consents and authorizations. With respect to Student personal data provided by or on behalf of an Institution, Cognity acts as a service provider / data processor on the Institution's behalf and processes such data only per the Institution's instructions, these Terms, the Privacy Policy, and any applicable Data Processing Agreement ("DPA").

    4.2 COPPA (United States). For Students under 13, the Institution and/or Educator represents that it has obtained verifiable parental consent, or is providing consent as permitted under COPPA's school-authorization framework, before Student personal information is collected. The Institution must make our Privacy Policy available to parents and retain records of consent.

    4.3 FERPA (United States). Where Cognity handles "education records" as defined under FERPA, Cognity acts as a "school official" with a legitimate educational interest, under the direct control of the Institution with respect to the use and maintenance of those records, and will use them only for the authorized educational purposes.

    4.4 GDPR / UK GDPR (EEA and UK). Where the Institution is the controller, the parties will enter into a DPA meeting the requirements of Article 28 GDPR. Cognity will assist the Institution in responding to data-subject requests and will process personal data only on documented instructions.

    4.5 Educator warranty. Each Educator represents that they have authorization from their Institution to use the Service and to invite Students, and that they will comply with their Institution's policies and applicable law.


    5. Changes to These Terms

    We may amend these Terms as permitted by law. We will post the updated Terms and, for material changes, provide notice at least 14 days before they take effect, through the Service or by other reasonable means. Your continued use after the effective date constitutes acceptance. If you do not agree, you may stop using and terminate your account.


    6. The Service and AI Features

    6.1 Description. Cognity is an AI-governance, transparency, and visibility platform for education. It lets Educators create AI-integrated assignments, configure how much AI assistance Students may use, and review how Students worked with AI — not only what they submitted.

    6.2 Jello (AI tutor). Jello is designed to guide Students rather than complete work for them, subject to the assistance level the Educator sets. AI behavior is probabilistic and may vary.

    6.3 AI-use visibility. The Service records and displays Student interactions with AI features (Transparency Records) to support academic integrity and process-based assessment. By using the Service, Users acknowledge that Student prompts, revisions, and related process data are visible to authorized Educators and the Institution.

    6.4 Educator judgment. AI Output — including flags, transparency summaries, scores, and suggestions — is assistive only. Educators remain solely responsible for grading, academic-integrity determinations, and any decision affecting a Student. Cognity does not make final decisions about Students.


    7. Well-being Signal

    7.1 Purpose and limits. The Well-being Signal surfaces possible indicators of Student distress or difficulty to authorized Educators. It is not a diagnostic, medical, crisis-intervention, or safety-monitoring service, and it does not guarantee detection of any condition, risk, or emergency. It may produce false positives and false negatives.

    7.2 No reliance for emergencies. The Service must not be relied upon to detect or prevent self-harm, harm to others, or any emergency. In an emergency, contact local emergency services and follow your Institution's safeguarding procedures.

    7.3 Human responsibility. Any action in response to a Well-being Signal is the responsibility of the Institution and its qualified staff, consistent with the Institution's safeguarding policies and applicable law. Because Well-being Signals may involve sensitive personal data, the Institution is responsible for ensuring an appropriate legal basis and safeguards for their use.


    8. Acceptable Use

    You agree not to:

    • provide false registration information or impersonate any person or Institution;
    • access, collect, or disclose others' personal data without authorization, or compromise account security;
    • use the Service to generate or distribute unlawful, infringing, harassing, defamatory, sexually explicit, violent, or hateful content;
    • attempt to circumvent AI assistance limits, transparency/logging features, or academic-integrity controls;
    • misuse the Service to complete work dishonestly in violation of an Institution's policies;
    • upload malware, scrape the Service, or attempt to reverse engineer, decompile, or extract underlying models except to the extent this restriction is prohibited by law;
    • use the Service to develop a competing product or to train machine-learning models; or
    • use the Service in violation of applicable law or the rights of others.

    Institutions and Educators are responsible for supervising Student use within their environments and for removing content that violates these Terms.


    9. User Content and License

    9.1 Ownership. As between the parties, Users (and, where applicable, their Institutions) retain ownership of Content they submit. Educators and Students retain rights in their original work.

    9.2 License to operate the Service. You grant Cognity a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit Content solely to provide, secure, and improve the Service for you, and as described in the Privacy Policy. This license ends when Content is deleted, except for residual backup copies retained for a limited period or as required by law.

    9.3 AI processing and model training. Content may be processed by AI features and by vetted AI sub-processors solely to deliver the Service. Cognity does not sell Student personal data and does not use Student personal data to train third-party foundation models or its own general-purpose models except as expressly permitted by the Institution and applicable law. See the Privacy Policy for details.

    9.4 Responsibility for Content. You are responsible for Content you submit and for having the rights necessary to submit it.


    10. Intellectual Property

    The Service, including its software, models, text, graphics, logos, trademarks, and design, is owned by Cognity or its licensors and is protected by law. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service for its intended educational purpose. No rights are granted except as expressly stated. You may not copy, modify, distribute, sell, or create derivative works from the Service without our written permission.

    Ownership of AI Output as between you and Cognity is allocated to you to the extent permitted by law and by our AI sub-processors' terms; however, AI Output may not be unique, and similar output may be generated for others.


    11. AI Output — No Warranty of Accuracy

    AI Output may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable, and may not reflect real facts or real people. AI Output does not constitute professional, legal, medical, or psychological advice. You are responsible for reviewing and verifying AI Output before relying on it. Educators must exercise independent professional judgment in all assessment and student-related decisions.


    12. Third-Party Services and AI Sub-processors

    The Service relies on third-party providers, including AI/LLM providers, hosting, and analytics ("Sub-processors"). A current list is available in or via the Privacy Policy. We require Sub-processors to protect data consistent with these Terms and applicable law, but we are not responsible for third-party services you separately choose to connect or use. Links to third-party sites are provided for convenience and are not endorsements.


    13. Fees, Billing, Subscriptions, and Cancellation

    13.1 Plans and fees. The Service is offered under free and paid plans. Fees, included features, billing frequency, and the subscription term are shown at the point of purchase — the subscription screen for individual users, or the order form for Institutions. Fees are stated exclusive of taxes unless otherwise noted.

    13.2 Billing, Merchant of Record, and payment. Paid plans are sold and billed through Paddle (Paddle.com Market Ltd) acting as our Merchant of Record ("MoR") — that is, the authorized reseller/seller of record for the transaction. When you purchase, your order is completed with Paddle as MoR, and Paddle's checkout buyer terms and refund policy apply to that transaction in addition to these Terms. By purchasing, you authorize the charge to your selected payment method for the applicable fees, including recurring fees, and you agree to keep your billing information accurate and current. Institutional purchases may instead be billed by invoice on agreed terms.

    13.3 Automatic renewal. Unless stated otherwise, paid subscriptions renew automatically at the end of each billing period for a further period of the same length, at the then-current price, and you authorize the corresponding recurring charge until you cancel. Where required by law, we will remind you before a renewal.

    13.4 Cancellation. You may cancel a subscription at any time through your account settings or by contacting cognity@ctcorp.ai. Cancellation takes effect at the end of the current billing period; you keep access until then, and future renewals stop.

    13.5 Price changes. We may change fees. For recurring subscriptions, we will give at least 30 days' notice before a change takes effect, applying from the next renewal. If you do not agree, you may cancel before it takes effect; continued use after that is acceptance.

    13.6 Free trial (14 days). We offer a 14-day free trial of the paid subscription. A valid payment method is required to start the trial. If you do not cancel before the trial ends, the trial automatically converts to a paid subscription at the end of the 14th day, your payment method is charged the applicable fee, and the subscription then renews automatically under Section 13.3. You may cancel at any time during the trial through your account settings to avoid being charged. Any promotional pricing applies only for its stated period.

    13.7 Refunds. We offer a full refund within 14 days of a payment where the Service has not been used since that payment — that is, where there is no usage or account activity attributable to the purchase. Refunds are processed through Paddle (our Merchant of Record) in accordance with Paddle's buyer terms. Apart from this, and except where required by law or expressly stated, fees are non-refundable and are not prorated for partial periods. This does not affect any statutory consumer refund or withdrawal rights (see Section 13.8).     13.8 Consumer withdrawal / cooling-off. If you are a consumer, you may have a statutory right to withdraw from a purchase within a set period (for example, 14 days in the EEA/UK, and applicable periods in Korea, Japan, and other jurisdictions). Where you ask us to begin providing the Service during that period, you acknowledge that the right of withdrawal may be lost or reduced once performance has begun, to the extent permitted by applicable law. Nothing here limits mandatory consumer rights (see Section 19.2).

    13.9 Taxes. As Merchant of Record, Paddle assesses, collects, and remits applicable sales tax, VAT, and GST on your purchase where required, and prices at checkout reflect such taxes where applicable. You remain responsible for any taxes that are your legal obligation and not collected at checkout.

    13.10 Non-payment. If a payment fails or is overdue, we may suspend or terminate paid features after reasonable notice, without limiting our other rights.

    13.11 Free features. Free plans and features may be modified, limited, suspended, or discontinued at any time without liability, subject to mandatory law.


    14. Privacy

    Our collection and use of personal data is described in the Privacy Policy and, for Institutions, in the applicable DPA. By using the Service, you acknowledge that Content — including Student prompts, drafts, process data, and Well-being Signals — is processed, and transferred internationally (including to the United States) as necessary to provide the Service, as described there.


    15. Suspension and Termination

    15.1 By you. You may stop using the Service and delete your account at any time, subject to any Institution arrangements. Deletion is handled as described in the Privacy Policy.

    15.2 By us. We may suspend or terminate access, with or without notice, for violation of these Terms, legal requirements, security risks, or non-payment. For serious or unlawful conduct, suspension may be immediate.

    15.3 Effect. On termination, your license to use the Service ends. Sections that by their nature should survive (including Content ownership, IP, disclaimers, limitation of liability, indemnification, and governing law) survive termination.


    16. Disclaimers

    The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation, to the maximum extent permitted by law. We do not warrant that AI Output or the Well-being Signal will be accurate, complete, or fit for any particular purpose. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.


    17. Limitation of Liability

    To the maximum extent permitted by law, Cognity and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or educational outcomes, arising from or related to the Service. Cognity's total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amounts paid for the Service in the six (6) months preceding the event giving rise to the claim, or (b) USD 100. Nothing in these Terms excludes liability that cannot be excluded by law (for example, for death or personal injury caused by negligence, fraud, or certain consumer/data-protection rights).


    18. Indemnification

    To the extent permitted by law, you agree to indemnify and hold harmless Cognity and its affiliates from claims, damages, and expenses arising from your Content, your use of the Service, or your violation of these Terms or applicable law. Public educational Institutions may be subject to limits on their ability to indemnify; this Section applies only to the extent permitted by the law governing that Institution.


    19. Governing Law and Dispute Resolution

    19.1 Governing law (single, worldwide). These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. Unless Section 19.3 applies, any dispute will be brought exclusively in the Seoul Central District Court (서울중앙지방법원) as the court of first instance. Other laws may apply where you use the Service outside the Republic of Korea; in that event, applicable local law affects these Terms only to the extent required by that jurisdiction (see Section 19.2).

    19.2 Non-waivable rights (carve-out). Nothing in these Terms excludes, restricts, or modifies any consumer or data-protection right, or any liability for gross negligence, fraud, or willful misconduct, that cannot be excluded or limited under the mandatory law of your country of residence or establishment. Where such mandatory law applies, it prevails over Section 19.1 to the extent of any conflict.

    19.3 United States users — arbitration and class-action waiver. If you are an individual located in the United States (for example, a teacher, parent, or student using the Service in a personal capacity), you and Cognity agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, and each party waives any right to a jury trial and to participate in a class, collective, or representative action. Either party may still (a) seek injunctive or equitable relief in court for intellectual-property or data-security matters, and (b) bring a qualifying claim in small-claims court. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by notifying cognity@ctcorp.ai; opting out does not affect the rest of these Terms.

    This Section 19.3 does not apply, and does not override, (i) Section 19.2 (non-waivable rights); (ii) any Institution or public-sector entity that cannot agree to arbitration under applicable law — for such Institutions, and for enterprise customers generally, the dispute-resolution terms of the applicable enterprise agreement or order form control; or (iii) any case where arbitration or the class-action waiver is prohibited by law.


    20. Miscellaneous

    These Terms, the Privacy Policy, and any applicable DPA or order form constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to you may be given through the Service or by other reasonable means.
